1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at symspace.com, as well as all associated software, web applications, tools, features, and services operated by Symspace Inc. ("Symspace," "Company," "we," "us," or "our") (collectively, the "Site").

Please read these Terms carefully. By accessing, browsing, or using the Site, or by clicking to accept these Terms when prompted, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated herein by reference. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SITE.

2. Eligibility

You represent and warrant that you are of legal age of majority in your jurisdiction of residence (and at least 18 years of age) to form a binding contract with Symspace. If you access or use the Site on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Intellectual Property Rights & Restricted Use

The Site and its entire contents, features, and functionality—including, without limitation, all software, code, algorithms, text, displays, graphics, logos, marks, designs, audio, video, user interfaces, and structural arrangements (collectively, "Symspace Content")—are owned by Symspace, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

  • Limited License: Subject to your strict compliance with these Terms, Symspace grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site for your internal business or personal, non-commercial use.
  • Restrictions: You must not:
    • Reproduce, duplicate, copy, sell, resell, rent, lease, sublicense, or redistribute any portion of the Site or Symspace Content.
    • Modify, reverse engineer, decompile, disassemble, or create derivative works of any software or content on the Site.
    • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices.
    • Frame, inline link, or utilize framing techniques to enclose any trademark, logo, or other proprietary content without express written consent.

4. Prohibited Activities & System Integrity

You agree to use the Site solely for lawful purposes and in accordance with these Terms. You agree not to:

  • Use any robot, spider, scraper, crawler, or other automated device or manual process to access, monitor, extract, or copy any material from the Site.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • Impersonate Symspace, a Symspace employee, another user, or any other person or entity.

The Site may contain links or integrations to third-party websites, software, platforms, or resources. Symspace provides these links solely for your convenience and does not endorse, control, monitor, or assume any responsibility for third-party content, services, products, or privacy practices. You access all third-party sites entirely at your own risk and subject to the terms and conditions of those third parties.

6. FULL DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SERVICES, SOFTWARE, AND CONTENT ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

SYMSPACE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, SYSTEM INTEGRATION, DATA ACCURACY, AND FREEDOM FROM COMPUTER VIRUSES, BUGS, MALWARE, OR OTHER HARMFUL CODE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, OR FREE OF DISRUPTIONS, OR THAT DEFECTS WILL BE CORRECTED.

7. MAXIMUM LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYMSPACE, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SUCCESSORS BE LIABLE UNDER ANY LEGAL THEORY (WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, STATUTORY DUTY, OR OTHERWISE) FOR ANY:

  • INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF ACTUAL OR ANTICIPATED PROFITS, REVENUE, DATA, GOODWILL, SAVINGS, BUSINESS OPPORTUNITY, OR REPUTATION;
  • COST OF PROCURING SUBSTITUTE GOODS OR SERVICES; OR
  • SYSTEM DOWNTIME, SOFTWARE BREACH, OR NETWORK INTERRUPTION.

THIS LIMITATION APPLIES EVEN IF SYMSPACE WAS ADVISED OF, KNEW OF, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

HARD AGGREGATE LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF SYMSPACE ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF:

  1. THE TOTAL AMOUNT PAID BY YOU TO SYMSPACE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR
  2. ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

THE EXISTENCE OF MULTIPLE CLAIMS WILL NOT ENLARGE OR EXTEND THIS LIMIT. IF YOU ARE DISSATISFIED WITH THE SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE ALL USE OF THE SITE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Symspace, its affiliates, licensors, and service providers, and their respective officers, directors, employees, agents, contractors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your breach of these Terms;
  • Your misuse of the Site or Symspace Content; or
  • Any information, data, or content you submit, post, or transmit through the Site.

9. Dispute Resolution, Binding Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

  • Governing Law: These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision.
  • Binding Arbitration: You and Symspace agree that any dispute, controversy, or claim arising out of or relating to the Site, Services, or these Terms shall be settled through binding, confidential individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, before a single arbitrator. The arbitrator's award shall be final and binding upon both parties.
  • Class Action Waiver: YOU AND SYMSPACE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
  • Jury Trial Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SYMSPACE HEREBY WAIVE ALL RIGHTS TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.

10. Force Majeure

Symspace shall not be liable or responsible for any delay, failure in performance, or interruption of service resulting directly or indirectly from acts of God, natural disasters, failure of internet or telecommunications infrastructure, power failures, cyberattacks, labor disputes, riots, wars, governmental actions, or other causes beyond our reasonable control.

11. Severability & Entire Agreement

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Symspace regarding the Site.

12. Modifications & Contact

Symspace reserves the right to amend these Terms at any time in its sole discretion. All changes are effective immediately upon posting to the Site. Your continued use of the Site following the posting of updated Terms constitutes your acceptance of the revisions.
